Terms & Conditions
These terms of use (referred
to below as “The Terms of Use”) are applicable to the Selection Website www.wekool.euroklimat.it (“wEKool” or “Selection Website”), owned and
operated by EUROKLIMAT S.p.A. with registered office in via Liguria 8, 27010 Siziano (PV),
Italy.
By using our Selection Website, you indicate
that you accept these terms of use and that you agree to abide by them.
1. Accessing to the
Selection Website
1) Access to the Selection Website requires a registration as
'User'. Registration is open to companies and professionals of any sector
interested in purchasing EUROKLIMAT products. To register you must be at
least 18 years of age;
2) The registration requires:
2.1) Surname, Name of the
person who registers;
2.2) Business email address;
2.3) Company name;
2.4) Business address;
2.5) Business phone number;
After Registration, the data will be checked
for completeness and apparent correctness. In case there are no apparent
errors, the registration will normally be accepted without undue delay and a
user account will be opened for the User. EUROKLIMAT S.p.A. will send an e-mail to inform the User
about the registration status.
3) The user agrees to notify EUROKLIMAT
S.p.A. immediately of any changes which are relevant for registration, by
sending an e-mail to wekool@euroklimat.it;
4) EUROKLIMAT S.p.A., at
its discretion, reserves the right to refuse the registration of a User, or to
terminate or suspend its account, if already registered, upon the occurrence of
situations in which (by way of example and not limited to) in our opinion the
data entered are not correct, current or complete, or if in our opinion such an
action is necessary (including where it suspects the registration of multiple accounts/User
profiles by the same individual);
5) If the Selection Website has
a function that allows the user to upload a User profile, EUROKLIMAT S.p.A.
does not check the
Profiles regularly beyond the first examination at Registration. EUROKLIMAT S.p.A. does not accept any warranty for the
correctness and completeness of the Users profiles.
2. Password and Account
details
1) Each user must indicate a username and password during
registration. If the indicated username has already been used by other users,
it will not be possible to register on the Selection Website and it will
therefore be necessary to change the username.
2) The password must comply with all the following conventions:
2.1) at least eight characters;
2.2) at least one uppercase letter;
2.3) at least one lowercase letter;
2.4) at least one number;
2.5) at least one special character.
3) The User will be
responsible for the confidentiality of his password, username and other details
(if any) and for all activities reserved for the User account. Any unauthorized
use of the User account or other security breaches must be reported to EUROKLIMAT
S.p.A. immediately.
3. Use of the Selection
Website
1) The content and other information appearing
on the Selection Website are provided on “AS IS” basis. EUROKLIMAT S.p.A. makes no representation and warranty, either
express or implied, as to the accuracy, usefulness, or certainty of any of the
content or other information appearing on the Selection Website.
2) The contents are only available within the
technical and operating capabilities of EUROKLIMAT S.p.A.
EUROKLIMAT S.p.A. strives to secure the Selection Website's availability
without interruption, however, EUROKLIMAT
S.p.A. reserves the
right to change or discontinue any or all elements of the Selection Website,
including its structure, usage conditions, URL, and content or other
information without prior notice especially for technical or operational
reasons.
3) Users are not allowed to collect, store and
use personal data from other Users of the Selection Website.
4) Users are required to use the content of the
Selection Website properly at all times.
5) Where Users log on in order to gain access
to the Selection Website or a part of it, where EUROKLIMAT S.p.A. provides a “log-off”, “exit” (or similar) option, Users
undertake to log off and exit from their account at the end of each session. EUROKLIMAT S.p.A. reserves the right to log off Users whose
accounts are inactive for an extended period of time.
4. Intellectual Property
and Utilisation Rights
1) Contents, such as text, photographs, images,
software, trademarks, logos and product names on the Selection Website are the
Intellectual Property of or licensed to EUROKLIMAT S.p.A.
2) EUROKLIMAT S.p.A. grants to Users a free of charge, non-exclusive
and non-transferable right to use the content for commercial purposes without
the right to modify or alter the materials in any way, nor delete or change any
copyright or trademark notice. Users may download and have contents be shown on
their computer screens for instant use and printing. Users receive an
unrestricted and unlimited right of use of such content. However, Users may
neither copy, distribute, publish, exhibit, show, broadcast, make publicly
available nor reproduce content, unless explicitly provided otherwise. Some of
the content may require a separate agreement, which Users will be asked to agree
to before use.
3) Upon Termination of this Agreement Users
must end any use of the contents of the Selection Website, unless a separate
agreement was entered into for the use of such content or content was
downloaded and printed in accordance with clause 4 (2) above.
5. Uploading content or
material to the Selection Website
1) If and whenever you make use of a feature
that allows you to upload material or post content to the Selection Website,
such material or content must not be illegal, offensive, abusive, indecent,
defamatory, obscene or menacing, or in breach of copyright, trademark,
confidence, privacy or any other right, or is otherwise injurious to third
parties, or objectionable, or which consists of or contains software viruses,
political campaigning, commercial solicitation, chain letters, mass mailings or
any 'spam' . You warrant that any such contribution does comply with the above,
and you indemnify EUROKLIMAT
S.p.A. for any
breach of that warranty;
2) Any material you upload to our Selection
Website will be considered non-confidential and non-proprietary, and EUROKLIMAT S.p.A. has the right to use, copy, distribute and
disclose to third parties any such material for any purpose. EUROKLIMAT S.p.A. also have the right to disclose your identity
to any third party who is claiming that any material posted or uploaded by you
to the Website constitutes a violation of their intellectual property rights,
or of their right to privacy.
3) EUROKLIMAT S.p.A. will not be responsible, or liable to any third
party, for the content or accuracy of any materials posted by you or any other
user of the Selection Website.
4) EUROKLIMAT S.p.A. has the right to remove any material or posting
you make on the Selection Website if, in EUROKLIMAT S.p.A.’s opinion, such material does not comply with the content standards set out in
clause 5 (1) above.
6. Suspension of access
rights
If EUROKLIMAT S.p.A. has reason to believe that User does not comply
with any of the provisions in these Terms and Conditions or is in breach of
other legal provisions in connection with the Selection Website, EUROKLIMAT S.p.A. may suspend the User's access to the Selection
Website. EUROKLIMAT S.p.A. will inform the User via Email about the
Suspension and the reasons therefore.
7. Liability
1) Contents on the Selection Website are
provided free of charge. EUROKLIMAT
S.p.A. disclaims any responsibility for any loss, damage, claim,
liability or damage of any kind in any way connected with any errors or
omissions of the selection software and its information, technical inaccuracies
and typographical errors included;
2) EUROKLIMAT S.p.A. disclaims any responsibility for any loss, damage, claim,
liability or damage of any kind in any way connected to problems or technical
malfunctions of networks or telephone lines, online computer systems, servers,
internet access, IT equipment, software, or a combination of them, including
any injury or damage to your computer or any other person as a result of using
the tool;
3) The material displayed on our Selection
Website is provided without any guarantees, conditions or warranties as to its
accuracy. Due to the constant evolution of our products,
information on this Selection Website may contain technical inaccuracies or
typographical errors. Information may be changed or updated without
notice. EUROKLIMAT S.p.A. may also make improvements and/or changes in
the products and/or programs described in this information at any time without
notice.
4) Though EUROKLIMAT S.p.A. endeavors to ensure that the Selection Website
is normally available 24 hours a day, EUROKLIMAT
S.p.A. shall not be
liable if for any reason our Selection Website is unavailable at any time or
for any period. From time to time, the access to our Selection Website may be
suspended temporarily and without notice.
5) EUROKLIMAT S.p.A. does not guarantee that the
Selection Website is free from viruses or other harmful components.
8. Termination
Both Parties may terminate this Agreement at
any time in written form without prior notice.
9. Variation
EUROKLIMAT S.p.A. reserves the right to revise these terms of use
at any time by amending this page even within existing contractual relations. EUROKLIMAT S.p.A. will inform Users at least 30 (thirty) days
prior to the implementation of the variation via Email. Should a
User not object to the change within 14 (fourteen) days after receipt,
variation will become valid on the day following the last of the 14 days
objection period. Should a User object to the variation, the contract will be
continued according to its original terms and conditions.
10. Jurisdiction
Any dispute or claim that may arise in connection with or as a
consequence of the use of our Selection Website will be governed by Italian
laws and devolved to the exclusive jurisdiction of the Law Courts of Milan and
Pavia (Italy).
11. Miscellaneous
Should any or part of any of the regulations of
this Agreement be invalid, the rest of the regulations will continue to be
valid, whereas the invalid regulation will be replaced by a regulation, which
resembles the mutual intentions of the parties and passes legal requirements
appropriately.

Privacy Policy
EUROKLIMAT manages the privacy and personal data of users of its
websites with the utmost respect whether they intend to purchase EUROKLIMAT
products, or who simply intend to browse the EUROKLIMAT web pages. We want users
to feel comfortable and protected in the confidentiality of their personal
data, and for this reason we have put in place measures to protect the
confidentiality of personal data. We operate in accordance with the European
Union General Data Protection Regulation (2016/679/EU "GDPR") and the
applicable local legislation. When the user enters private information on our
sites, we guarantee that this information will be processed according to the
aforementioned policy. We therefore invite you to read the provisions relating
to the personal data processing policy.
This Privacy Notice is intended to tell you how we use any
information we collect about you (called "personal information",

The Privacy Notice applies to products and websites that refer
to or link to the Privacy Notice (collectively, our “Services”) and will apply
whether you access our Services using a computer, mobile phone, tablet, TV, or
other device.

Siziano (PV), Italy (“EUROKLIMAT”, “we”, “us” o “our”);

is Personal Information?
For the purposes of this Privacy Notice "Personal
Information" consists of any information that relates to you and/or
information from which you can be identified, directly or indirectly. For
example, information which identifies you may consist of your name, address,
telephone number, photographs, payment details, a specific EUROKLIMAT
product/device identification number, location data, an online identifier (e.g.
cookies identifiers and your IP address) or to one or more factors specific to
your physical, physiological, genetic, mental, economic, cultural or social
identity. When we combine other information (i.e. information that does not, on
its own, identify you) with Personal Information, we treat the combined
information as Personal Information.
3. What Personal Information does EUROKLIMAT collect about you?
1) Personal Information you provide directly (some
Services we offer enable you to give us Personal Information directly):
- When you create a wEKool account or profile: when you
create an account or profile on our Selection Website wEKool, we ask you to
provide certain Personal Information, including your name and email address.
Any account you create will be password-protected and we use your name to help
verify your account when you contact our customer support representatives or
contact us for other purposes.
- When you communicate with EUROKLIMAT: when you contact
us with a sales inquiry or interact with our customer support representatives
via email, telephone or in person, we may collect Personal Information, such as
your name, mailing address, phone number, email address and contact
preferences; and we may also collect information about the EUROKLIMAT products
you own, such as their serial numbers and date of purchase. We also may create
logs/reports that are useful in diagnosing product or application performance
related issues, and capture information relating to the issue. We use this
information to provide you with customer and product support. We may access your
relevant profile/account, in order to provide you with the necessary assistance
or support you require or have requested. We may also record and review your
conversations with our customer support representatives (e.g. when you contact
us by telephone), for training and complaints handling, and also to review any
information you have provided in response to a voluntary customer survey(s). We
will only record and/or review your conversations with us where we are
permitted to do so by applicable laws and we will always tell you we are doing
so.
2) Information about your
use of the Services:
We may collect information about your use of our Services
through an application on our websites. For example, we can collect information
from the logs, such as the time and duration of your use of the Service, your
preferences set, the ways in which you enter into an offer, the search terms
you enter through the Services, as well as any information stored in cookies.

third party sources
We may receive Personal Information from third parties (i.e.
other companies), for further details on this please see the following

- Information from publicly
available sources: we may receive Personal Information about you from
publicly available sources, provided the receipt of such information is in
accordance with applicable laws, which we may combine with other information we
receive from or about you. We also may receive information about you from
social networking sites when you choose to connect with those sites.
4) Other ways we may collect
your Personal Information
We may collect your Personal Information in other ways, for
further details on this please see the following additional information.
- Subscription and newsletters: where you subscribe to
our promotional communications and newsletters we may collect Personal
Information from you in order to enable us to provide this service to you. The
Personal Information required will include your email address and other contact
details. We will only provide such subscription services to you in accordance
with applicable laws and where you have expressly requested us to do so.
- When you upload Personal Information to a EUROKLIMAT
website: in addition to the above, we may collect such other Personal
Information that you provide by uploading content (e.g. certification or
photos) onto our websites or online applications. In such cases, the following
Personal Information may be collected in order to publish the content on our
websites or online applications: your name, email address and any Personal Information
in the content that you choose to upload. Where we collect such content we will
only do so in accordance with applicable laws.
- Websites and campaign response activity: if you have
opted-in to our tracking cookies, our Marketing automation systems will track
your website and campaign response activities (such as trade shows attended or
Newsletters clicked). We do this in order to understand our customers better
and customise marketing communications for relevancy.
4. How do we use your information?
We may use the Personal Information we collect for the following
purposes:
1) Registering products - to register you or your product
for any of our Services;
2) Provide our Services - to provide our Services or any
specific feature that you request, including to enable us to fulfil our
obligations under any contract with you (such as, any product or device
warranty);
3) Surveys – to ask for your opinions or comments on our
Services and to conduct other surveys;
4) Customised and Targeting Content - to provide
customised content and make recommendations based on your past activities on
our Services. We may use Personal Information to more effectively target our

16) Product recall – in the highly unlikely circumstance
that EUROKLIMAT needs to recall any product, including for safety purposes,
your information is used to contact you with instructions on how to return your

17) Marketing communications - EUROKLIMAT may use your
Personal Information to provide you with newsletters and other communications
by post, email, telephone and/or text message (SMS), only if you have provided
your consent or we are otherwise permitted to do so under applicable law. For

18) Combining Personal Information - We may combine the
Personal Information that we collect from you (including information received
from other EUROKLIMAT Affiliates) to the extent permitted by applicable law.
For example, we may combine various different databases that contain your
Personal Information to allow us to provide better support services and more
personalised content (such as, marketing and advertisements).
The law allows us to use the Personal Information as set out
above on the basis that we are acting in our "legitimate interests".
5. To whom do we disclose your information?
We will not disclose your Personal Information to third parties
for their own independent marketing or business purposes. However, we may
disclose your information to the following entities:
1) EUROKLIMAT Affiliates - We may need to transfer your
Personal Information to other EUROKLIMAT Affiliates to provide the Services you
require or any other services/assistance you request. All EUROKLIMAT Affiliates
are required to follow the privacy practices set forth in this Privacy Notice,
or such other privacy policy that they may notify to you.
2) Service Providers - We use independent Service
Providers to more easily manage certain activities and Services for your
benefit. We may share Personal Data about you with these independent service
providers only to allow them to provide Services on our behalf; these operators
will act only according to our instructions. An example of an independent
analytics provider we work with is Google Analytics which helps us understand
the use of EUROKLIMAT products and others, to allow us to improve our services.

3) Social Network Providers - We may provide your
Personal Information, such as your email address, to certain social networking
providers so that they can help us display advertisements about our Services on
your social network pages. We will only share your Personal Information with
social networking providers in accordance with your marketing preferences and

Services - We will disclose your Personal Information to comply with
applicable law or respond to valid legal process, including from law
enforcement or other government agencies; to protect our customers (e.g. to
prevent spam or attempts to defraud users of our Services); to operate and
maintain the security of our Services (e.g. to prevent or stop an attack on our
systems or networks); or to protect the rights or property of EUROKLIMAT,
including enforcing any terms or agreements governing the use of our Services.
5) Anonymous statistics - We prepare and develop
anonymous, aggregate or generic data and statistics for various reasons (as
indicated in this Privacy Notice). As this data is anonymous (i.e. you cannot
be identified from it) we do not consider this information to be Personal
Information. As such, we may share it with any third party (such as our
Affiliates, partners, advertisers or otherwise).
6) Other parties in connection with corporate transaction
- We may disclose your Personal Information to a third party (or other
EUROKLIMAT Affiliate) as part of a reorganisation, merger, transfer, sale,
joint venture, assignment or other disposition of all or any portion of
EUROKLIMAT’s business, assets or stock, including, without limitation, in
connection with any bankruptcy or similar proceeding.
7) Other parties with your consent or at your direction -
We may share Personal Information about you with third parties when you consent
to or request such sharing.
A number of EUROKLIMAT’s Services give you the option and
ability to upload and share certain Personal Information, such as, messages,
photos, videos and other content. Any Personal Information that you choose to
upload and share on a publicly accessible profile may be viewed and accessed by
others. As such, you should always exercise caution when using such EUROKLIMAT
Services.
6. What do we do to keep your information secure?
EUROKLIMAT has put in place rigorous physical and technical
measures to safeguard the Personal Information we collect in connection with
our Services. However, please note that although we take rigorous steps to
protect your Personal Information, no website, product, device, online
application or transmission of data, computer system or wireless connection is
completely secure and therefore we cannot guarantee the security of your
Personal Information.
1) Location of Personal Data - The Personal Information
that we collect from you is stored and processed in the European Economic Area
("EEA");
2) Encryption - All Personal Information you provide to
us is captured, transmitted and stored using encryption. Data is stored in
highly secure data centres;
3) Using social media and forum features - Certain
Services include social networking, chat room or forum features. You should
ensure that when using these features that you do not submit any personal
Information that you do not want to be seen, collected or used by other users.
7. Accessing your Personal Information and other rights you have
EUROKLIMAT will collect, store and process your Personal
Information in accordance with your rights under any applicable data protection
laws. Your rights under applicable data protection laws include, the right to
access a copy of your Personal Information, the right to request the deletion
or updating of any inaccurate Personal Information and the right to object, in
some cases, to our processing of your Personal Information. Right to Withdraw
Consent – where you have consented to our processing of your Personal
Information, you have the right to withdraw such consent at any time. In the
event you wish to withdraw your consent to processing, please contact us using
the details given at the end of this Privacy Notice.
1) Enforcing your rights - If you wish to enforce any of
your rights under applicable data protection laws, then please contact us using
the details given at the end of this Privacy Notice. We will respond to your
request without undue delay and by no later than one month from receipt of any
such request, unless a longer period is permitted by applicable data protection
laws, and we may charge a reasonable fee for dealing with your request which we
will notify to you. Please note that we will only charge a fee where we are
permitted to do so by applicable data protection laws.
2) Complaints - If you believe that we have not respected
your rights regarding the protection of personal data and if you reside in
Italy, we specify that you have a right of complaint to the Guarantor Authority
for the protection of personal data. Alternatively, if you live in a country
other than Italy, you can contact the local personal data protection authority.
8. Data Retention – How long we will store/keep your Personal
Information
We will retain your Personal Information for the period
necessary to fulfil the purposes for which your Personal Information has been
collected. In particular, we classify Personal Information into the following
specific categories with different retention periods:
1) Marketing opt-ins - Will remain as an opt-in until you
unsubscribe at which point your information will be retained on a suppression
list in order to ensure that we comply with your request;
2) Contact us sales forms or inbound telephone sales
inquiries - 10 years;
3) Warranty registrations and customer service calls - 10
years. We may need to contact you in case of product recalls (health and
safety);
4) Customers and partners - 10 years from the last time
we engage with you (email, meeting, telephone call).
Please note: If your
Personal Information belongs to more than one category, the longest retention
period will prevail. When your Personal Information is no longer required for
the purpose it was collected or as required by applicable law, it will be
deleted and/or returned to you in accordance with applicable law.
9. Third-Party links and products on our Services
Our websites, applications and products may contain links to
other third parts websites that are not operated by EUROKLIMAT; and our
websites or your product and devices may contain applications that you can
download from third parties. These linked sites and applications are not under
EUROKLIMAT’s control and as such, we are not responsible for the privacy
practices or the content of any linked websites and online applications. If you
choose to use any third parts websites or applications, any Personal
Information collected by the third party’s website or application will be
controlled by the privacy policy of that third party. We strongly recommend
that you take the time to review the privacy policies of any third parties to
which you provide Personal Information.
10. Cookies
EUROKLIMAT, as well as some third parties that provide content,
advertising or other features to our websites, may use cookies and other
technologies. Cookies are small text files that can be read by a web server within
the domain that deposited the cookie on your hard disk. Cookies allow more
online functionality and improve the browsing experience and use of websites;
in addition, they indicate which parts of the sites are visited, help to
evaluate the effectiveness of advertising and web searches and allow to analyze
user behavior, to improve communications and products. We can use cookies to
store your preferences and settings, assist you in accessing, provide targeted
advertisements and analyze the operations on the site.

We and other EUROKLIMAT Affiliates may use your Personal
Information (such as your contact details (e.g. name, address, email address,
telephone number)) to send you marketing-related correspondence by post, email,
telephone and/or text message (SMS) related to EUROKLIMAT products and
Services, in accordance with your email and contact preferences. We may also
use your Personal Information to personalize and to target more effectively our
marketing communications to ensure, to the extent possible, that any
marketing-related correspondence is relevant to you.

Privacy Notice
It also is important that you check back often for updates to
the Privacy Notice, as we may change this Privacy Notice from time to time. The
“Date last updated” legend at the bottom of this page states when the policy
was last updated and any changes will become effective upon our posting of the

Cookies Policy
EUROKLIMAT collects Personal Data automatically through the use of
cookies which may require your consent under the applicable law. You may
withdraw your consent at any time. Cookies are small text files that create
notes about Internet browsing behaviour and are installed by websites on your

example, convenient Internet browsing and buying are facilitated, e.g., by
avoiding having to sign in repeatedly and by positioning relevant
